User Service Agreement on ENGINEAI Robot Control Terminal

(Effective Date of Version: June 15, 2026)

Dear User:

Thank you very much for registering and using the ENGINEAI Robot Control Terminal (hereinafter referred to as "this product" or "APP") provided by EngineAI Robotics Technology Co., Ltd. (hereinafter referred to as "ENGINEAI" or "We"). For your proper use our product and its related functions, you should carefully read and comply with the "User Service Agreement for ENGINEAI Robot Control Terminal" (hereinafter referred to as "this Agreement") and any relevant privacy policies that may be issued in the future. This Agreement contains important terms related to your rights and obligations. Please carefully read and fully understand each provision, especially those regarding the exemption or limitation of ENGINEAI's liability, the restriction of user rights, the agreement on the method of dispute resolution and governing law, including but not limited to safety usage rules, the prohibition of dangerous modification or illegal operation of this product, and any additional agreements or rules for separately activated functions. Terms involving significant user rights and interests may be highlighted in bold or underlined.

Before using our product, you should carefully read the entire content of this Agreement. If you have any questions about any provisions of this Agreement, you may contact us via the contact information set out in Article 12. When you click the [Agree/Next] button as prompted on the page or actually use this product, it shall be deemed that you have read and agreed to be bound by this Agreement. If you do not agree to any provisions of this Agreement, please do not use our product and related services.

This product is mainly targeted at users with full legal capacity. If you are a person without or with limited civil capacity (including minors), please read this agreement under the guidance of your legal guardian, and the guardian shall decide whether to consent to your use of this product. The guardian shall assume reasonable supervision responsibility for the use behavior of minors.

ENGINEAI reserves the right to revise this Agreement from time to time. The updated terms will be announced on the product interface and will come into effect as of the date of announcement. You may review the latest version of the Agreement terms at any time. If you do not agree to the updated Agreement, you should immediately stop using this product; continued use shall be deemed as your acceptance of the revised Agreement.

⚠️ Danger Warning:

ENGINEAI robot equipment belongs to mechanical equipment with motion capabilities. Improper operation may cause equipment damage, personal injury, or property loss. Before using this product and the robot equipment, you should carefully read the product manual, safety guidelines, and the content of this agreement, and use the robot equipment in a safe, legal, and suitable environment.

You understand and agree that ENGINEAI robots do not possess autonomous consciousness, and the operational behavior of the robot equipment is determined by the control instructions you issue. ENGINEAI only provides robot control software tools and does not conduct real-time supervision or control over your specific operational behavior. If any functional failure occurs in the product (including but not limited to operational malfunction, abnormal alarm, safety function failure, etc.), please immediately stop using it. You are strictly prohibited from resuming use until all faults are fully rectified.

1. Product Description

1.1 Product Overview

1.1.1 ENGINEAI Robot Control Terminal is an application software (hereinafter referred to as "APP") used to control robot devices, which usually runs on a dedicated handle device to send control commands to the robot and display device status information.

1.1.2 The "Product" referred to in this Agreement includes the Robot Control Terminal APP and its related software components.

1.1.3 This product is mainly used to connect and control ENGINEAI robot devices, and provides robot operation interface and device information display functions.

1.1.4 The current version of the product does not provide Internet remote control functionality, cloud services, or user account systems.

1.2 Product Features

In the current version, this product mainly provides the following functions:

1.2.1 Virtual Control Function

You can send control commands to the robot, such as moving, turning and other operations, through the "Control Center - Virtual Control" on the APP interface.

1.2.2 Advanced Control

The APP provides more detailed control instruction interfaces for advanced operation or secondary development of robots. You can view and use this function in the "Control Center - Advanced Control" section of the App interface.

1.2.3 Device Addition and Binding

You can connect to the robot device via Lora and complete device authentication through the device serial number.

1.2.4 The above functions are mainly implemented through local communication between user terminal devices and robot devices.

1.3 Explanation of Usage Properties

1.3.1 This product is only used as a tool software for users to control robotic devices.

1.3.2 ENGINEAI does not participate in the decision-making or execution of your specific operational actions.

1.3.3 You shall be responsible for all control instructions issued through this product and the consequences arising therefrom.

2. Software License

2.1 Usage License

2.1.1 ENGINEAI grants you a non-exclusive, non-transferable license to use the Product when you legally own or use robotic devices.

2.1.2 You may only use this software to control ENGINEAI robot devices and their related functions.

2.2 Usage Restrictions

Except as permitted by law or with the written consent of ENGINEAI, you shall not engage in the following acts:

2.2.1 Reverse engineer, decompile, or disassemble this software;

2.2.2 Modify, copy, distribute, lease, or transfer this software;

2.2.3 Use this software to develop products or services that directly compete with ENGINEAI;

2.2.4 Use unauthorized software, plugins, or systems to access this product;

2.2.5 Interfere with product operation by forging data, tampering with the Communication Protocol, etc.

2.3 Prohibit illegal use

You shall not use this software:

2.3.1 Develop products that are in direct competition with ENGINEAI robot devices;

2.3.2 Used for unauthorized device control systems;

2.3.3 Used for illegal activities or infringement of others' legitimate rights and interests.

2.4 Use the ENGINEAI Application

You need to prepare mobile devices (ENGINEAI handheld consoles) compatible with ENGINEAI applications and services such as Internet connectivity. We do not guarantee that ENGINEAI applications will be available in any specific geographical location.

2.5 Third-Party Materials in the Service

Certain services may display, include, or provide content, data, information, applications, or materials from third parties ("Third-Party Materials"), or provide links to certain third-party websites. By using the Services, you acknowledge and agree that we are not responsible for reviewing or evaluating the content of such Third-Party Materials or websites, or their compliance with respect to accuracy, completeness, availability, timeliness, effectiveness, copyright compliance, legality, appropriateness, quality, or any other aspect. We do not make any warranties or guarantees regarding any third-party services, third-party materials, third-party websites, or any other materials, products, or services, nor do we assume any liability to you or any other person. Third-party materials and links to other websites are provided to you solely for your convenience.

3. Safety Usage Rules

3.1 Basic Safety Requirements

3.1.1 Before using the robotic device, you should carefully read the product manual and safety guidelines, and operate the device in accordance with the relevant requirements.

3.1.2 You shall use the robotic equipment in a safe, legal, and appropriate environment in accordance with the "Product Manual" and take reasonable measures to ensure that the operation process does not pose risks to others or public safety.

3.1.3 You should properly store the equipment and control terminal to prevent unauthorized personnel from operating the robot.

3.2 Prohibited Actions

When using this product and robotic equipment, you shall not engage in the following behaviors:

3.2.1 Operating robots in crowded areas, traffic environments, or other locations where safety may be endangered;

3.2.2 Conduct dangerous modifications or unauthorized hardware alterations to robotic equipment;

3.2.3 Interfere with the normal operation of robotic equipment or related communication systems through technical means;

3.2.4 Activities that use robotic devices to engage in illegal activities or infringe upon the legitimate rights and interests of others;

3.2.5 Use robotic devices for weaponization, dangerous experiments, illegal surveillance, or any other activities that endanger public safety or social order.

3.3 User Responsibility

3.3.1 You shall assume full responsibility for all control instructions sent through this product and the operating behavior of robot devices.

3.3.2 You shall be solely responsible for any personal injury, property damage, or other losses caused by your improper operation, violation of safety requirements, violation of laws and regulations, or violation of this Agreement.

4. Data and Privacy Statement

Our Privacy Policy describes how we handle the information you provide to us when you use the Service. For a description of our privacy practices, please visit our Pravicy Policy.

5. Software Update

To enhance user experience, or based on the needs of overall service operation, product security, and compliant business operations, we may update or change the software services of the product from time to time, including but not limited to modifying, upgrading, suspending, or terminating related services, providing new services, or replacing software packages, etc. You may choose whether to update according to your needs. If you choose not to update, some functions of ENGINEAI may be restricted or unable to function properly. To facilitate your better use of ENGINEAI products, we may also remind you to update the built-in software at appropriate times.

6. Special Instructions for Logs

When ENGINEAI conducts robot maintenance, it is necessary to determine the cause of the fault and the attribution of maintenance responsibility based on the information contained in the equipment log records. The user understands and agrees that log records are an important basis for determining the attribution of fault responsibility.

If a user deletes, tampers with, or causes log records to be lost or incomplete without authorization, ENGINEAI will be unable to effectively determine the cause of the failure and the attribution of responsibility, and reserves the right to refuse to provide maintenance services. All consequences arising therefrom shall be borne by the user.

7. Disclaimer

7.1 Product Status

7.1.1 This Service and all materials and content provided through this Service are provided "as is" and "as available", without any express or implied warranties or conditions.

7.1.2 To the extent permitted by law, ENGINEAI disclaims all express or implied warranties of any kind with respect to this Service and all materials and content provided through this Service, including: (A) any implied warranties of merchant ability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement; and (B) any warranties arising from course of dealing, usage, or trade custom. ENGINEAI does not guarantee that this Service, any part of this Service, or any materials or content provided through this Service will be uninterrupted, secure, or free from any errors, viruses, or other harmful components, and does not guarantee that any such issues can be corrected.

7.1.3 Any advice or information (whether oral or written) you obtain from our service or any materials or content provided through our service shall not create any warranty related to ENGINEAI or the service that is not expressly stated in this Agreement. When you use or access this Service, as well as any materials or content provided through this Service, you shall assume any risk of damage that may occur as a result.You understand and agree that when you use this Service, as well as use or access any materials or content provided through this Service, you shall act based on your own independent judgment and assume risks on your own, and shall fully and independently bear any personal injury, death, or property damage to you or a third party (including computer systems and ENGINEAI products related to the use of this Service) caused by your own negligence.

7.2 Limitation of Liability

Within the scope permitted by law, ENGINEAI shall not be liable for the following situations:

7.2.1 The consequences of your actions during the operation of robotic equipment;

7.2.2 Losses caused by your failure to use the equipment in accordance with the product instructions or safety guidelines;

7.2.3 Malfunctions caused by your self-modification of software or equipment;

7.2.4 All liabilities arising from your use of robotic devices to commit illegal acts or acts that infringe upon the legitimate rights and interests of third parties;

7.2.5 Service interruptions or product abnormalities caused by network environment, third-party systems or devices, or force majeure.

7.2.6 Under no circumstances shall our company be liable to you for any indirect, incidental, special, consequential, or punitive damages (including but not limited to damages for loss of profits, loss of goodwill, or other intangible losses) arising out of your use or inability to use the Service, Product Accessories, or any materials or content provided on the Service, whether such damages are claimed based on warranty, contract, tort (including negligence), statute, or any other legal theory, and regardless of whether our company has been informed of the possibility of such damages.The aforementioned limitation of liability shall not apply to personal injury caused by our company's intentional act or gross negligence, as well as other liabilities that cannot be excluded or limited under mandatory laws of the applicable country. Unless otherwise agreed by the parties, the total amount of any damages for which our company is liable to you, arising out of or in connection with the use or inability to use any part of the Service, or occurring under these Terms for any other reason (whether due to contract, tort, or otherwise), shall be capped at the total purchase price you actually paid for the specific product. Any compensation assumed by our company under this clause shall not exceed the portion of the total price you have paid that corresponds to the specific service or product giving rise to the claim. This clause does not affect the rights enjoyed by our company and you under mandatory laws and regulations of the applicable country.

7.3 Martial Arts Movements

7.3.1 The "martial arts moves" function of this product is a high-risk demonstration function and is not intended for actual combat. You should be aware of and voluntarily assume the risks associated with high-risk activities. When using this product, you must ensure that it is in a safe environment and on a flat, open area. Additionally, the "martial arts moves" function of this product is only for demonstration purposes; any modification, striking, or use in actual combat is strictly prohibited. You shall be solely responsible for any personal injury or property damage resulting from non-compliance with the above safety requirements, unauthorized modification, or misuse of this function.

7.4 Secondary Development Function

7.4.1 All risks, liabilities, and consequences (including but not limited to product malfunctions, performance anomalies, data loss, security vulnerabilities, personal or property damage, etc.) arising from your actions such as secondary development, modification, cracking, or unauthorized alteration of the product's original functions, structure, software and hardware configuration, etc., shall be borne solely by the user, and the Company shall not assume any legal liability.

7.5 User's Liability for Compensation

7.5.1 This product is a scientific and technological innovation product with certain risks, and it must be used strictly in accordance with the "Product Manual", which is shipped together with the product. You must use it strictly in accordance with the operating specifications, safety requirements, and precautions specified in the "Product Manual" attached to the product. If you violate the foregoing provisions of this article or fail to use this product as required by the "Product Manual", resulting in personal injury or property damage to yourself or others, you shall bear the relevant liability for damages, and this company shall not assume any liability.

8. Intellectual Property

8.1 All intellectual property rights of ENGINEAI products and services belong to us, including but not limited to patents, software copyrights, technical secrets, integrated circuit layout designs, product appearance designs, firmware, operating systems, underlying algorithms and architectures, etc. The copyrights, patents, and other intellectual property rights of the software on which we rely when providing ENGINEAI products and services are owned by us or third parties from whom we have obtained authorization.

8.2 The application layer software, algorithm models, functional modules, solutions, and other technological achievements generated by your independent investment of resources in secondary development using the developer mode, SDK, API, or other open interfaces provided by ENGINEAI shall, in principle, be owned by you, except as otherwise agreed in writing by both parties. Your secondary development results shall not contain, copy, or substantially reproduce the intellectual property rights portion of ENGINEAI.

8.3 We provide technical support for the development and operation of ENGINEAI, and have all rights within the scope permitted by laws and regulations to all data, information, etc. generated during the development, operation, and other processes of ENGINEAI.

8.4 If you submit any "Suggestions" to us or our affiliates, we and our affiliates shall have the right to use such "Suggestions" without restriction. You hereby irrevocably assign to us all rights, title, and interest in such "Suggestions" and agree to provide us with any assistance we may require to prove, perfect, and maintain our rights in such "Suggestions".

8.5 Under no circumstances shall you use any trademarks, service marks, trade names, domain names, website names, or other brand identifiers (collectively referred to as "Identifiers") related to the ENGINEAI brand, such as "EngineAI", without authorization. Without our prior written consent, you shall not display, use, or apply for trademark registration, domain name registration, etc., of the aforementioned Identifiers in the preceding provisions of this clause, either individually or in any combination, nor shall you engage in any act of expressly or implicitly indicating to others that you have the right to display, use, or otherwise handle such Identifiers.If your use of the trademark in violation of this Agreement causes losses to us or others, you shall bear all legal liability.

9. Trade Compliance

You should be aware that this product is only for civilian commercial use, and both parties shall comply with all applicable laws and regulations regarding import, re-import, sanctions, anti-boycott, export, and re-export controls, including but not limited to the current and periodically revised export control laws and regulations, economic sanctions decrees, and relevant administrative orders of China, the US, the EU, the United Nations, and other relevant countries or regions. For the sake of clarity, you are fully responsible for the manner of use of ENGINEAI products and services you choose, the provision of ENGINEAI products and services to the "end user", and all compliance matters related to such operations. You represent and warrant that you, your end users, or any party that owns or controls you or your end users, are not subject to sanctions or listed on any prohibited or restricted parties list, including but not limited to lists established by the United Nations Security Council, the US government (such as the US Department of the Treasury's Specially Designated Nationals List and the Foreign Sanctions Evaders List, and the US Department of Commerce's Entity List), the European Union or its member states, or other relevant government agencies.

10. Minor Terms of Service

10.1 This product and service are intended for adults and are not suitable for minors to play with.

10.2 If a minor truly needs to use our product, it must be done under the full-time accompaniment and guidance of an adult with full civil capacity (i.e., legal guardian). The guardian shall fully assess the safety risks of the product and assume guardianship responsibility for the ward's usage behavior. If the guardian fails to fulfill their guardianship duties, resulting in the minor’s operating without permission and causing personal injury or property damage, the guardian shall bear the corresponding legal liability in accordance with the law.

10.3 Adults without full capacity for civil conduct shall be implemented with reference to Article 10.2.

10.4 There are physical risks (such as impact, device falling, etc.) during the operation of this product. Pregnant women and those with slow reaction (including the elderly) may face higher safety risks when using this product, and it is not recommended for the above-mentioned groups to operate this product independently. If it is indeed necessary to use it, please do so with the assistance of others and strictly follow the product instructions.

11. Agreement Amendment and Termination

11.1 Agreement Update

11.1.1 To provide you with better services, or due to changes in national laws, regulations, policies, technical conditions, product functions, etc., we will revise this Agreement as appropriate, and the revised content shall form an integral part of this Agreement. After this Agreement is updated, we will issue the updated version on the ENGINEAI Application and the official website, and will remind you of the updated content through an official website announcement or other appropriate means before the updated terms come into effect, so that you can timely understand the latest version of this Agreement. You may also consult the latest version of the Agreement terms on the ENGINEAI Application or the official website.If you continue to use ENGINEAI's products and services, it means you have agreed to accept the revised content of this Agreement. If you have any objections to the revised content of the Agreement, please immediately stop using them.

11.2 Agreement Termination

11.2.1 When the contract cannot be performed as agreed due to force majeure factors (such as earthquakes, typhoons, storms, floods, fires, wars, government regulations, export control bans, international sanctions, public health incidents, port blockades, shortages of critical upstream components, suspension of logistics, hacker attacks, etc., as well as delays caused by orders from national and government departments), ENGINEAI has the right to suspend, terminate, or cancel the services.

12.2 We will respond to user feedback within a reasonable time and provide support or handling suggestions based on the actual situation.

12.3 Any product suggestions, improvement ideas, or other feedback you provide to us shall be deemed as authorizing us to use such feedback in product R&D and improvement. We reserve the right to use the above feedback without payment of compensation.

13 Applicable Law and Dispute Resolution

13.1 This Agreement shall be governed by the laws of the People's Republic of China.

13.2 The Place of Performance of this Agreement is [Room 2603, Block A, Building 2, Shenzhen Bay Innovation and Technology Center, No. 3156, Keyuan South Road, Gaoxin Community, Yuehai Sub-district, Nanshan District, Shenzhen City].

13.3 Disputes arising out of this Agreement shall first be resolved through negotiation by both parties. If negotiation fails, either party may submit the dispute to the Shenzhen Court of International Arbitration for arbitration in accordance with the arbitration rules then in effect at the time of filing the arbitration application. The arbitration award shall be final and binding on both parties.
